Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") form a binding agreement between you and AutomateNexus CRM ("AutomateNexus," "we," "us") and govern your access to and use of our website and customer relationship management platform (the "Service"). By creating an account or using the Service, you agree to these Terms.

If you are using the Service on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.

2. Accounts

You must provide accurate information when creating an account and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account.

You must be at least 18 years old and able to form a binding contract to use the Service. Notify us immediately of any unauthorized use of your account.

3. Acceptable use

You agree not to misuse the Service: no unlawful, infringing, or fraudulent activity; no sending of unsolicited bulk messages in violation of anti-spam laws; no attempts to disrupt, reverse engineer, or gain unauthorized access to the Service or its infrastructure.

You are responsible for the data you import and the messages you send through the Service, including obtaining any consent required to contact your customers.

4. Billing & subscriptions

Paid plans are billed in advance on a monthly or annual basis. Subscriptions renew automatically until cancelled. Fees are non-refundable except as described in our Refund Policy.

We may change plan pricing with notice; changes take effect at your next renewal. Founding Member purchases are one-time and governed by the terms presented at the point of purchase.

You authorize us and our payment provider to charge your payment method for all fees incurred. Failure to pay may result in suspension or termination of the Service.

5. Intellectual property

The Service, including its software, design, and content, is owned by AutomateNexus and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.

You retain all rights to the data you submit. You grant us the limited rights needed to host, process, and display that data to operate the Service for you, including AI features you enable.

6. AI features

The Service includes AI features such as lead scoring, follow-up drafting, and forecasting. AI output may be inaccurate or incomplete and is provided to assist, not replace, your judgment. You are responsible for reviewing AI-generated actions before they are sent or relied upon.

Where you bring your own model keys (BYOK), your use of that provider is also subject to the provider's terms.

7. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

8. Limitation of liability

To the maximum extent permitted by law, AutomateNexus will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim arose.

9. Termination

You may cancel at any time as described in our Cancellation Policy. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to others or to the Service.

Upon termination, your right to use the Service ends. You may export your data during the recovery window described in our Cancellation Policy.

10. Governing law & changes

These Terms are governed by the laws of the jurisdiction in which AutomateNexus is established, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction.

We may update these Terms from time to time. Material changes will be communicated, and continued use after changes take effect constitutes acceptance. We will revise the "last updated" date below.
