These Terms of Service ("Terms") govern your access to and use of the AutomateNexus CRM platform ("Service") provided by AutomateNexus CRM ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

  • You must provide accurate, complete, and current information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  • You must notify us immediately of any unauthorized access to your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

3. Service Description

AutomateNexus CRM provides a cloud-based CRM platform with features including but not limited to:

  • Contact and deal management
  • AI-powered analytics and reporting
  • Built-in telephony and conferencing
  • Third-party integrations
  • White-label branding capabilities
  • Billing and subscription management

We reserve the right to modify, update, or discontinue features at our discretion with reasonable notice.

4. Subscription and Payment

4.1 Plans and Pricing

The Service is offered under subscription plans as described on our pricing page. Prices are subject to change with 30 days' prior notice. Current subscribers will be notified of price changes before their next billing cycle.

4.2 Billing

  • Subscription fees are billed monthly or annually, depending on the plan selected.
  • All payments are processed through Stripe and are non-refundable except as described in our Refund Policy.
  • You authorize us to charge your payment method on file for recurring subscription fees.

4.3 Free Trial

We may offer a free trial period. At the end of the trial, you must select a paid plan to continue using the Service. No payment information is required to start a trial.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal, harmful, or unauthorized purpose.
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Upload or transmit malicious code, viruses, or harmful content.
  • Use the Service to send unsolicited communications (spam) in violation of applicable laws.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Resell or sublicense access to the Service except through authorized white-label arrangements.

6. Data Ownership

  • Your Data: You retain ownership of all data you input into the Service ("Customer Data"). We do not claim ownership of your Customer Data.
  • License: You grant us a limited license to use, process, and display your Customer Data solely to provide and improve the Service.
  • Export: You may export your Customer Data at any time through the platform's export functionality.

7. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by AutomateNexus CRM and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written consent, except as permitted by your white-label license if applicable.

8. Third-Party Integrations

The Service integrates with third-party applications and services. We are not responsible for the availability, accuracy, or policies of third-party services. Your use of third-party integrations is subject to their respective terms and privacy policies.

9. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will provide reasonable advance notice of scheduled maintenance.

10. Limitation of Liability

To the maximum extent permitted by law, AutomateNexus CRM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless AutomateNexus CRM, its officers, directors, employees, and agents from any claims, losses, damages, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

  • You may cancel your subscription at any time through your account settings or by contacting support.
  • We may suspend or terminate your access if you violate these Terms, with notice where practicable.
  • Upon termination, your right to use the Service ceases immediately. You may export your data within 30 days of termination.

13. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Austin, Texas.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
